Terms, Privacy & Copyright Rules

VERSAL ENTERTAINMENT SERVICES

Statutory governance, intellectual property protection, account balance terms, and user rights across versalmusic.app.

1. Platform Scope, Jurisdiction & Zero-Ads Guarantee

Corporate Operator & Governing Law: versalmusic.app (Versalmusic.app™) is owned and operated by VERSAL ENTERTAINMENT SERVICES (registered in the Federal Republic of Nigeria, with principal operations in Ogun State, Nigeria). These Terms constitute a binding agreement governed by the Constitution of the Federal Republic of Nigeria 1999 (as amended), the Companies and Allied Matters Act (CAMA) 2020, the Federal Competition and Consumer Protection Act (FCCPA) 2018, the Nigeria Data Protection Act (NDPA) 2023, the Copyright Act 2022, and the Cybercrimes (Prohibition, Prevention, etc.) Act (as amended).

Audio Hosting & Distribution Scope: versalmusic.app operates strictly as a direct-to-listener audio hosting, streaming, and Software-as-a-Service (SaaS) distribution platform. VERSAL ENTERTAINMENT SERVICES is not a traditional record label, talent agency, collective management organisation, or deposit-taking commercial bank. Creators upload tracks once without recurring subscription fees to keep their catalog live, while listeners pay only for what they play.

100% Zero-Ads Policy: versalmusic.app enforces a strict zero-video-ads and zero-audio-interruptions policy to protect listener focus, device battery life, and mobile data.

2. Account Eligibility, Permanent Usernames & Onboarding

Strict 18+ Age Requirement: Access to versalmusic.app requires affirmative confirmation that you are at least 18 years of age. Accounts found to belong to minors or created via false age attestation are subject to immediate termination.

Permanent Usernames (@username) vs. Editable Display Names: To maintain accurate creator attribution, royalty accounting records, and anti-impersonation security, all new @username handles must consist of lowercase letters (a–z) and numbers (0–9) with no spaces or special symbols. Once registered, your @username is permanent and cannot be changed. However, in accordance with Section 34 of the NDPA 2023 (Right to Rectification), you may freely update your public Display Name and Banner Bio at any time in your Profile settings.

Single Email Policy & Onboarding Capacity Management: Each email address may register only one account. To guarantee service reliability and streaming quality, versalmusic.app may apply automated daily registration limits or temporary onboarding pauses. When daily onboarding capacity is reached, prospective users may reserve their preferred @username and email on the Priority Waitlist for the next available batch.

3. Voice Record Units (VRU), V-Bag Balances & Royalty Payouts

Prepaid Utility Credit Definition (1 VRU = ₦1): Voice Record Units (VRU) are closed-loop prepaid service credits valued at 1 VRU = ₦1 (NGN) and used exclusively within versalmusic.app to pay for audio streams and creator hosting fees without incurring per-play bank transfer charges. VRU is a digital service credit and does not constitute foreign exchange, digital currency, a tradable financial instrument, or a commercial bank deposit under Central Bank of Nigeria (CBN) regulations.

Minimum Top-Up & Credit Rollover: Users fund their V-Bag via CBN-licensed Nigerian payment channels starting from a minimum top-up of ₦1,000 (1,000 VRU). Unused VRU credits never expire while your account remains active.

Separation of Listening Credits & Creator Earnings (AML/CFT Compliance): Every user account maintains two separate internal balances:

  • Listening & Upload Balance (V-Bag): Holds prepaid VRU purchased via top-ups. In compliance with Nigerian Anti-Money Laundering and Combating the Financing of Terrorism (AML/CFT) regulations, top-up credits are non-withdrawable in normal course and are used solely for platform streams or creator upload fees (subject to the Section 4 Platform Wind-Down Refund Guarantee).
  • Creator Earnings Balance: Holds royalties earned organically when listeners play a Creator's tracks. Creators set their price at 10, 20, 30, 40, 50, 60, 70, 80, 90, or 100 VRU per play (or Free / 0 VRU). On every qualified paid play, 83.3% is credited directly to the Creator's Earnings Balance, and versalmusic.app retains a 16.7% platform service fee.

Creator Royalty Withdrawals (5,000 VRU / ₦5,000 Minimum): Once a Creator accumulates at least 5,000 Earned VRU (₦5,000), they may request a payout in Creator Studio. Payouts are settled within 7 to 14 days directly to a valid 10-digit Nigerian NUBAN bank account matching the Creator's verified identity. Artificial play manipulation, automated bot activity, or collusive streaming between accounts results in immediate account termination and forfeiture of manipulated balances.

4. Platform Wind-Down & 100% VRU Balance Refund Guarantee

Unconditional 100% VRU Balance Refund Protection (FCCPA 2018)

In the unlikely event that VERSAL ENTERTAINMENT SERVICES permanently discontinues operations or shuts down versalmusic.app, every user is guaranteed a 100% cash refund of their remaining VRU balances at the parity rate of ₦1 (NGN) for every 1 VRU. This guarantee covers both:

  • 100% of unspent V-Bag top-up credits remaining in the user's account at the time of wind-down; and
  • 100% of unpaid Creator Earned VRU royalties (with the standard 5,000 VRU minimum withdrawal threshold waived in full so all earned balances are paid out).

Dedicated Refund Channel & 90-Day Settlement Window: Prior to any permanent service discontinuation, versalmusic.app shall provide at least thirty (30) days' advance written notice to all registered users via email and an in-app notice banner, and shall open a Dedicated Wind-Down & Refund Settlement Channel (accessible directly on versalmusic.app and via [email protected]). Users and Creators will be provided a minimum ninety (90) day claim window to confirm their 10-digit Nigerian NUBAN bank account details for direct NGN electronic refund settlement and to retrieve their uploaded catalog records.

5. Streaming Rules, 10-Minute Free Replay & Stream Protection

Creator Self-Stream Fee Exemption: Creators are never charged VRU when playing their own uploaded audio tracks. Self-streams do not deduct VRU and are excluded from paid listen royalty calculations.

600-Second (10-Minute) Free Replay Window: When a listener pays to play a track once, the platform unlocks a 600-second (10-minute) consecutive replay window for that exact track at 0 VRU cost. Playing any other track during that 600-second window immediately ends the free replay window for the previous track.

Technological Protection Measures (Copyright Act 2022 Section 50): All audio streams on versalmusic.app are delivered exclusively for in-app listening and are protected by proprietary anti-download Technological Protection Measures (TPMs), including device-fingerprinted ephemeral stream tokens. Attempting to circumvent, intercept, rip, record, or extract hosted audio streams via external tools or download managers is strictly prohibited and constitutes a statutory offense under Section 50 of the Nigerian Copyright Act 2022.

6. Audio Hosting Fees, Sound Quality Standards & Deletion

Tiered Hosting Fees, Upload Limits & Sound Quality Check

  • 50MB Max & Tiered Hosting Fee: Maximum audio file size is strictly 50MB. Uploading a track up to 10MB requires a non-refundable hosting fee of 10,000 VRU, plus 10,000 VRU for each additional 10MB bracket.
  • Upload Capacity Management: To maintain platform stability and prevent automated spam, creator uploads are subject to daily per-account and platform-wide capacity limits as well as temporary maintenance pauses.
  • Genre Playlists & Sound Quality Check: Creators may select up to 3 genre tags per upload for automatic placement into Genre Playlists on Hey. Every audio file undergoes an automated loudness check (-24 dB to -6 dB RMS) so listeners never experience inaudible or distorted audio.
  • Track Deletion & Royalty Retention: Creators may permanently delete any of their uploaded tracks at any time via Creator Studio. Deleting a track permanently removes the audio file from storage and disables future plays, while historical play counts and VRU royalties already earned prior to deletion remain in the Creator's account.

Zero-Tolerance Duplicate Audio Policy

Every audio upload is verified using automated cryptographic SHA-256 audio fingerprinting. Uploading duplicate audio files or re-uploading existing tracks to manipulate discovery feeds is automatically blocked and grounds for account suspension.

7. 18+ Content Classification, 24-Hour Comments & Moderation

Mandatory 18+ Tagging & Prohibited Material (NBC / Cybercrimes Act)

Creators must accurately flag any upload containing explicit sexual themes (18+ Sexual) or graphic violence/strong language (18+ Violent) during upload. Unflagged explicit tracks reported by listeners are subject to immediate removal. Unlawful audio—including non-consensual intimate recordings, child exploitation, terrorist incitement, defamation, or hate speech—is strictly prohibited under the Nigerian Cybercrimes Act and National Broadcasting Commission (NBC) guidelines.

24-Hour Ephemeral Track Comments: Public comments posted on tracks (up to 200 characters) automatically expire and disappear after 24 hours in alignment with NDPA 2023 data-minimization principles. Comment authors may delete their own comments, and Creators may remove any comment posted on their uploaded tracks.

Misconduct Reporting (Comments & Profiles): Users may flag any comment or user profile for harassment, impersonation, or policy violations. Reported items are reviewed by our moderation desk for prompt removal or account sanction.

8. Trademarks, Copyright Act 2022 Safe Harbor & Takedowns

Official Trademark Declaration

Versalmusic.app™ and the Versalmusic.app logo™ are trademarks of VERSAL ENTERTAINMENT SERVICES. All proprietary platform software, visual designs, and brand identifiers are protected under the Nigerian Trademarks Act and Copyright Act 2022.

Creator Ownership, Hosting License & MCSN Indemnification: Creators retain 100% copyright ownership of their original sound recordings and compositions. By uploading to versalmusic.app, the Creator grants VERSAL ENTERTAINMENT SERVICES a non-exclusive, worldwide, royalty-free license to host, stream, and display the work while it remains active on the platform. The Creator warrants that they hold all necessary underlying mechanical and public performance clearances (including any applicable Musical Copyright Society Nigeria — MCSN clearances) and indemnifies VERSAL ENTERTAINMENT SERVICES against third-party infringement claims.

Notice & Takedown Procedure (Copyright Act 2022 Sections 54–55): Rightsholders may submit a statutory Takedown Notice via [email protected] (or the in-app Help & Copyright Takedown desk) containing: (1) identification of the copyrighted work, (2) the exact track URL or title on versalmusic.app, and (3) a good-faith declaration of ownership. Verified infringing files are expeditiously disabled and removed.

Counter-Notice & Repeat Infringer Policy (Copyright Act 2022 Sections 55–56): Notified Creators may submit a Counter-Notice within 7 days demonstrating lawful ownership or license. Repeat copyright infringers are permanently terminated and forfeit any associated VRU earnings.

9. NDPA 2023 Data Privacy, Security & Right to Erasure

Lawful Basis & Data Protection Officer (NDPA 2023 Sections 25, 27 & 32): We collect minimal personal data (email address, permanent @username, editable display name/bio, and creator payout bank details) strictly on the lawful basis of contract performance and explicit user consent. Payment card details are processed exclusively by PCI-DSS compliant Nigerian payment processors (Paystack) and are never stored on our servers. Aggregate visitor traffic metrics are cryptographically hashed using HMAC-SHA256 so individual IP addresses are never publicly exposed. Our Data Protection Officer (DPO) can be reached at [email protected].

7-Day Inactivity Security Sign-Out: To protect your V-Bag and creator catalog on mobile and shared devices, 7 consecutive days of inactivity automatically signs out your session and requires re-authentication.

Cross-Border Cloud Safeguards & 72-Hour Breach Protocol (NDPA 2023 Sections 40–43)

Account records, double-entry VRU ledger balances, and hosted audio blobs are processed across vetted, TLS/AES-encrypted cloud infrastructure providers (including Supabase, Cloudflare R2, and Blnk Ledger) operating under standard contractual and technical adequacy safeguards compliant with Part V (Sections 41–43) of the NDPA 2023. In the event of a personal data breach posing a risk to user rights, versalmusic.app will notify the Nigeria Data Protection Commission (NDPC) within 72 hours of awareness and alert affected users.

Part VI Data Subject Rights, Statutory Audit Retention & Instant Account Erasure (NDPA 2023 Sections 34–38 & Cybercrimes Act): You hold the statutory right to access, rectify, port, restrict, or object to the processing of your personal data, and to lodge a complaint with the NDPC. You may permanently delete your account at any time from your Profile settings, which immediately purges your profile, comments, saved playlists, and all uploaded audio and cover files from our storage servers. Anonymised financial transaction and security audit logs are retained for the statutory two (2) year period mandated by the Nigerian Cybercrimes (Prohibition, Prevention, etc.) Act (as amended) and CBN AML/CFT financial audit regulations before permanent deletion.

10. Cookie Policy, Liability Limits & Dispute Resolution

Strictly-Necessary Cookies & Local Storage Policy: versalmusic.app uses only strictly-necessary first-party cookies and local browser storage to keep you securely signed in, enforce the 7-day inactivity lock, remember your selected visual theme, and save optional payout form preferences on your device. We do not use third-party advertising cookies, cross-site tracking pixels, or behavioural profiling scripts, and we never sell user data to third parties.

Daily In-App Policy Reminders: By using versalmusic.app, you consent to receiving at most one in-app notification per calendar day highlighting key Terms of Use and account security practices.

Limitation of Liability & Force Majeure: Except for the express Section 4 100% VRU Refund Guarantee upon platform wind-down, VERSAL ENTERTAINMENT SERVICES provides versalmusic.app on an “as-is” and “as-available” basis and shall not be liable for indirect, incidental, or consequential damages arising from third-party telecommunications outages, mobile network failures, or upstream banking maintenance.

Dispute Resolution (Arbitration and Mediation Act 2023): Any dispute arising out of or in connection with these Terms shall first be submitted to [email protected] for amicable resolution within thirty (30) days. If unresolved, the dispute shall be referred to mediation or arbitration in Nigeria in accordance with the Arbitration and Mediation Act 2023, and the courts of the Federal Republic of Nigeria shall retain exclusive supervisory jurisdiction.
